Terms of Service.
The rules of engagement: what we promise, what you provide, who owns the code, and what happens when something goes wrong.
01 About these terms
These Terms of Service govern the provision of development services by Qix Service IT SIA, registration number 40203771606, registered at Dārzu iela 25, Rēzekne, LV-4601, Latvia ("we", "us", "the Provider"), and your use of this website.
They apply to every engagement unless we have signed a separate written agreement with you, in which case that agreement takes precedence to the extent of any conflict. Placing an order, accepting a quote or paying an invoice constitutes acceptance of these terms.
02 Definitions
- Client — the person or company engaging us for a Project.
- Package — one of the three published service offerings: Fast Start, Digital Retail or The Platform.
- Specification — the written description of scope agreed before work begins, including anything expressly excluded.
- Project — the work described in the Specification.
- Deliverables — the source code, configuration and documentation produced for the Project.
- Third-Party Materials — open-source libraries, fonts, APIs and services incorporated into the Deliverables under their own licences.
03 Services & packages
We provide custom software development services. The three Packages published on this website are offered at the fixed prices shown:

Prices are per Project and are stated in euro. Qix Service IT SIA is not currently registered as a VAT payer, so no VAT is added to invoices. Should our VAT status change, we will notify affected clients before it applies to them.
The descriptions on the service pages are a summary. The Specification agreed for your Project is the binding definition of what is included.
04 Quotes & scope changes
Before work begins we provide a written Specification and a fixed quote. A quote is valid for 30 days unless stated otherwise, and is based on the information you have given us.
If you request work outside the agreed Specification, we will tell you the cost and the effect on the timeline before starting it. No additional work is performed, and no additional amount becomes payable, without your written approval.
Each Package includes two rounds of revisions against the agreed Specification. Further rounds, or changes to the Specification itself, are quoted separately.
05 Your responsibilities
To deliver on time we depend on you to:
- Provide content, images, logos, designs and access credentials promptly and in a usable format.
- Hold, in your own name, the hosting account and domain registration the Project will be deployed to, and pay for them directly.
- Open any third-party accounts required for the Project (for example Stripe, PayPal, AWS or DigitalOcean) in your own name.
- Nominate a single person authorised to approve work and sign off deliverables.
- Respond to review requests within a reasonable time — prolonged silence may pause the Project and shift the schedule.
- Warrant that all material you supply is either yours or properly licensed, and does not infringe anyone's rights.
Delays caused by missing material or approvals extend delivery dates accordingly, and we will tell you when that happens rather than letting the date quietly slip.
06 Fees & payment
- Fees are invoiced by Qix Service IT SIA and paid by bank transfer in euro.
- Standard payment terms are three (3) days from the invoice date, unless the invoice states otherwise.
- Larger Projects may be split into milestone payments, agreed in writing before work starts.
- Bank charges on your side are your responsibility; the amount received must equal the invoiced amount.
- Late payment may result in work being suspended, and statutory late-payment interest under Latvian law may be applied.
- Third-party costs — hosting, domains, paid APIs, commercial fonts or stock assets — are not included in the Package price and are paid by you directly to the supplier.
07 Delivery & acceptance
Work is developed on a staging environment you can access throughout. On completion we deploy to your hosting, configure DNS and SSL, and hand over the repository and credentials.
You have ten (10) days from handover to review the Deliverables against the Specification and report any discrepancy in writing. If no discrepancy is reported within that period, or if the Deliverables are put into commercial use, they are deemed accepted.
Timelines given are good-faith estimates based on the Specification and prompt cooperation. They are not guaranteed delivery dates unless expressly agreed in writing as such.
08 Ownership of the code
On full payment of all sums due, all intellectual property rights in the bespoke Deliverables written specifically for your Project transfer to you, to the fullest extent permitted by law. You may host, modify, extend or resell the result without any further permission or fee from us.
The following are excluded from that transfer:
- Third-Party Materials, which remain governed by their own licences. We only incorporate materials whose licences permit commercial use, and we tell you what they are.
- Our general know-how, generic code patterns, internal tooling and reusable components developed independently of your Project. We grant you a perpetual, non-exclusive, royalty-free licence to use these as embedded in the Deliverables.
- Material you supplied, which remains yours throughout.
Until payment is made in full, we retain all rights in the Deliverables and any licence to use them is revocable.
Unless you tell us otherwise in writing, we may reference the Project by name and show it in our portfolio. If you prefer that we do not, just say so — no explanation needed.
09 Warranty
We warrant that the Deliverables will materially conform to the Specification for thirty (30) days after handover. Within that period, defects that are our responsibility are corrected at no charge.
The warranty does not cover:
- Modifications made by you or a third party after handover.
- Faults caused by your hosting environment, by third-party services changing or failing, or by browsers or devices released after handover.
- Requests for new functionality, however small they look.
- Content, data or configuration errors introduced by you.
Beyond this express warranty, and to the extent permitted by law, the Deliverables are provided without further warranties of any kind. We do not warrant that software will be uninterrupted or entirely free of defects — nobody honestly can.
10 Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that:
- Our total aggregate liability arising out of or in connection with a Project is limited to the total fees actually paid by you for that Project.
- We are not liable for loss of profit, loss of revenue, loss of anticipated savings, loss of business or goodwill, or for any indirect or consequential loss.
- We are not liable for loss of data where you have not maintained your own backups. Backups of your live environment are your responsibility unless we have separately agreed in writing to provide them.
- We are not liable for the acts, omissions, price changes, outages or discontinuation of third-party services.
If you are a consumer rather than a business, your statutory rights under Latvian and EU consumer protection law are not affected by this section.
11 Confidentiality
Each party will keep confidential any non-public information received from the other and use it only for the purpose of the Project. This obligation continues for three years after the engagement ends.
It does not apply to information that is already public, was already lawfully known, is independently developed, or must be disclosed by law.
Where we process personal data on your behalf, we act as a processor and will enter into a data processing agreement on request. See our Privacy Policy for how we handle data as a controller.
12 Termination
Either party may terminate an engagement by written notice if the other commits a material breach and fails to remedy it within 14 days of being notified.
If you terminate for convenience, you pay for all work completed up to the termination date, plus any non-cancellable third-party costs we have already committed to on your behalf. Work completed and paid for is handed over.
Sections 8 (ownership), 10 (liability), 11 (confidentiality) and 15 (governing law) survive termination.
13 Force majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, war, civil unrest, epidemics, sustained failure of national infrastructure, or acts of government. The affected party will notify the other promptly and both will act reasonably to limit the impact.
14 Use of this website
The content of this website — text, design, code, illustrations and the Qix Service IT name and mark — belongs to Qix Service IT SIA and may not be copied or reproduced without permission, other than normal browsing and personal reference.
Prices and descriptions are provided for information and do not constitute a binding offer. A binding agreement arises only when we issue a Specification and quote for your Project and you accept it.
You agree not to attempt to disrupt this website, gain unauthorised access to it, or use it for any unlawful purpose.
15 Governing law & disputes
These terms and any engagement under them are governed by the law of the Republic of Latvia. The courts of the Republic of Latvia have exclusive jurisdiction over any dispute, subject to any mandatory rules that give a consumer the right to bring proceedings in their country of residence.
Before starting proceedings, both parties agree to attempt in good faith to resolve the matter through direct negotiation. Most things are a misunderstanding and can be fixed with a conversation.
If any provision of these terms is found unenforceable, the rest remains in force.
